By accessing or using ScopeShield ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

ScopeShield is an AI-powered scope change impact analysis platform that helps project managers analyze the timeline, budget, and resource implications of scope change requests. The Service includes:

  • Email monitoring for scope creep detection
  • AI-powered analysis of client communications
  • Project scope management tools
  • Integration with third-party services (Gmail, Outlook, Jira)

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Payments

ScopeShield offers various subscription plans including a free tier with limited features. Paid subscriptions are billed on a recurring basis. You agree that:

  • All fees are stated in US Dollars and are non-refundable except as required by law
  • We may change pricing with 30 days advance notice
  • You are responsible for all applicable taxes
  • Failure to pay may result in suspension or termination of your account

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Upload malicious code or interfere with the Service
  • Attempt to gain unauthorized access to any systems
  • Use the Service for any illegal or harmful purposes
  • Share your account credentials with third parties

6. Email Integration and Data Access

When you connect your email account (Gmail or Outlook) to ScopeShield:

  • We access only emails from contacts you specify for monitoring
  • Email content is analyzed by AI to detect scope-related requests
  • We do not store full email content beyond what is needed for analysis
  • You can disconnect your email and delete data at any time
  • We comply with Google's and Microsoft's API usage policies

7. Intellectual Property

The Service and its original content, features, and functionality are owned by ScopeShield and are protected by international copyright, trademark, and other intellectual property laws. Your data remains your property.

8. AI-Generated Content

The Service uses artificial intelligence to analyze communications and generate insights. You acknowledge that:

  • AI analysis may not be 100% accurate
  • AI-generated responses and estimates are suggestions only
  • You are responsible for reviewing and verifying AI outputs before taking action
  • We are not liable for decisions made based on AI recommendations

9. Limitation of Liability

To the maximum extent permitted by law, ScopeShield shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or the like that may be transmitted through the Service

10. Indemnification

You agree to defend, indemnify, and hold harmless ScopeShield and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
